Complex corporate structure including limitations of land ownership.
A large sugar processor was purchased through a leveraged buy out of farmers who swapped land for stock in the company. The company was once a publicly held company with some stockholders keeping their stock in the company. The transaction included a phase out of land ownership for stock through a complex structure that has a time limit of 30 years to complete. The company was held through multiple holding companies to protect the farmers' land. The complexity of the ownership of the company limited the amount of companies willing to finance permanent equipment like evaporators. We were able to finance $4.32 million in evaporators for the Lessee.
